1. Agreement to Terms

By accessing and using the website of Eternia Solutions LLC ("we," "our," or "us") at eterniasolutions.io, you accept and agree to be bound by the terms and provision of this agreement.

2. Services Description

Eternia Solutions LLC provides expert backend development and consulting services, including but not limited to:

• Backend API development and optimization
• Legacy system modernization
• Performance and scalability audits
• Cloud architecture and DevOps consulting
• Third-party API integration
• System architecture design

3. Service Engagement

3.1 Project Scope

All services will be provided according to mutually agreed-upon project specifications, timelines, and deliverables outlined in individual service agreements or statements of work.

3.2 Professional Standards

We commit to providing services with professional expertise, using industry best practices, and maintaining high standards of quality and security.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Respond promptly to requests for information or feedback
• Provide necessary access to systems and resources
• Review and approve deliverables in a timely manner
• Maintain confidentiality of proprietary information

5. Intellectual Property

5.1 Client Ownership

Upon full payment, you will own all deliverables specifically created for your project, excluding any pre-existing intellectual property or general-purpose code libraries.

5.2 Our Rights

We retain the right to use general knowledge, skills, and experience gained during the project for other clients, provided no confidential information is disclosed.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of our engagement. This obligation survives the termination of our agreement.

7. Payment Terms

7.1 Pricing

Service fees will be as quoted in individual proposals or agreements. All prices are subject to change with appropriate notice.

7.2 Payment Schedule

Payment terms will be specified in individual service agreements. Late payments may result in suspension of services and additional fees.

8. Limitation of Liability

Our liability is limited to the amount paid for the specific service in question. We are not liable for any indirect, incidental, or consequential damages.

9. Warranty and Support

9.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. Any issues must be reported within 30 days of delivery.

9.2 Support Period

Post-delivery support terms will be specified in individual agreements. Extended support may be available under separate maintenance agreements.

10. Termination

Either party may terminate the agreement with written notice as specified in individual service agreements. Upon termination, you will be responsible for payment of services rendered up to the termination date.

11. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

12. Dispute Resolution

Any disputes arising from this agreement will be resolved through good faith negotiation. If resolution cannot be reached, disputes will be settled through binding arbitration in accordance with the laws of Wyoming, United States.

13. Governing Law

This agreement is governed by the laws of the State of Wyoming, United States. Any legal proceedings will be brought in the courts of Sheridan County, Wyoming.

14. Severability

If any provision of this agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

This agreement, together with any individual service agreements, constitutes the entire understanding between the parties regarding the subject matter.

16. Amendments

This agreement may be amended only by written agreement signed by both parties.
